    Terms of Service

    These Terms of Service (“Terms”) are entered between you and NAB Solutions AB org. nr 556608-0106 (“NAB” or “We”) and governs your access to, and use of, the Eagle application as further described under “Our Service” below (the “Service”). The Service is provided by NAB, through SmartApps 4D365 AB, org. nr 559164-9495 (“SmartApps”).

    Please read these Terms carefully and contact us if you have any questions. By using the Service, you agree to be bound by these Terms, our Privacy Statement [and further documents such as Cookies Statement] (our “Policies”). NAB will use commercially reasonable efforts to provide the Service and its functions to you in accordance with these Terms and our Policies.

    If you do not accept these Terms, you may not use the Service.

    OUR SERVICE

    The Eagle application (“Eagle app” or the “Service”) streamlines administration when you need to perform the same operational tasks in many companies. The Eagle app is installed in both the tenant belonging to the service agency (provider of administrational services), (“Service Agency”) and the one belonging to you as the Service Agency’s client (recipient of administrational services).

    The Service Agency enables you to connect to the Eagle app by sending a request for the Uniform Resource Locator (“URL”) that is linked to your Microsoft Dynamics 365 account. By providing the URL to your Service Agency, the Service will be made available to you and the Service Agency. By use of the settings in your Business Central, you can adjust and limit the level of access provided to the Service Agency via the Service (“Approved Information”). Please note that confirmation of Approved Information is made through your Dynamics 365 Partner. As such, We do not have access or control of your access management settings. Also, please note that the Service sole function is to facilitate easy access and transfer of data between you and the Service Agency and does not store or collect any data.

    The Eagle app enables you to open pages, order reports and process operational tasks for several companies simultaneously. By accepting these Terms, you approve the Service Agency to perform its service by using the data from the Approved Information in your Business Central.

    RIGHT TO USE

    Subject to these Terms and our Policies, NAB grants you a limited, non-exclusive, non-transferable, and revocable license to use the Service. This license is for the sole purpose of enabling you to use and enjoy the benefit of the Service as provided by NAB, in the manner permitted by these Terms.

    As a condition of your use of the Service, you will not use the Service for any purpose that is unlawful or prohibited by these Terms and our Policies. You may not use the Service in any manner that could damage, disable, overburden, or impair the Service, NAB or any of its affiliates.

    The Service may only be used for the intended purpose for which it is being made available. You are not allowed to copy, modify, or attempt to make changes to the software code of the Service.

    Please read the Privacy Statement for information on how your personal information and other information about you will be handled and the legal bases we use to process your data. By accepting these Terms, you are also accepting the terms of the Privacy Statement.

    SERVICE AVAILABILITY AND UPDATES TO THE SERVICE

    NAB is constantly changing and improving the Service. As part of the development of the Service, the Service is subject to general updates by Microsoft. In addition to this general update, you can agree on other updates in consultation with your Service Agency due to the service provided by the Service Agency. This is often made in the event your Service Agency want to sync the functions in your Eagle application with their updated version, to provide their service. Due to such update by the Service Agency, a request can be made to your Dynamics 365 partner. Such updates will be done in a timely manner, and, if possible, synced with the general update.

    We strive to keep the Service up and running; however, all online services suffer occasional disruptions and outages, and NAB is not liable for any disruption or loss you may suffer as a result.

    INTELLECTUAL PROPERTY

    Copyrights, trademark rights, database rights, design and all other intellectual property and other rights relating to the Service, existing now or in the future including but not limited to computer programs, source and object code, software graphics, database and logo are the property of NAB. All elements of the Service are protected by copyright, moral rights, trademark, and other laws relating to intellectual property rights.

    For the sake of clarity, no right to intellectual property is transferred to or obtained by you by the grant of the license to the Service. The sole right obtained is the right to use the Service in accordance with the Terms.

    CHANGES TO THESE TERMS

    NAB may revise these Terms from time to time. The most current version of the Terms will be available at: https://docs.smartappsford365.com/

    You acknowledge and agree that if you use the Service after the date on which the Terms have changed, NAB will treat your use as acceptance of the updated Terms. If you do not agree to the new terms, you must stop using the Services and terminate these Terms by following the instructions as further described under “Terminations by you”, below.

    TERMINATION

    a. Terminations by you

    You may end these Terms at any time by consulting with your Service Agency and request them to deactivate the Service for you. Please note that this may affect the service provided from the Service Agency.

    b. Terminations by NAB

    NAB reserves the right to suspend or terminate your use of the Service or cease providing you with all or part of the Service at any time if:

    1. You have violated these Terms, or our Policies;
    2. Your account should be removed due to unlawful conducts;
    3. We are required to do so to comply with a legal requirement or court order; or
    4. We reasonably believe there has been conduct that creates liability or harm to any user, other third party, NAB or our affiliates

    LIMITATION OF LIABILITY

    Within the limits allowed by applicable laws, you expressly acknowledge and agree that NAB shall not be liable for any direct, indirect, incidental, special, consequential, or exemplary damages, including but not limited to, damages for loss of profit, goodwill, use, data, or other intangible losses, resulting from:

    1. the use or the inability to use the Service;
    2. any action you take based on the information you receive in, through, or from the Service;
    3. your failure to keep your password or account details secure and confidential;
    4. unauthorized access to or alteration of your transmissions of data;
    5. the improper authorization for the Service by someone claiming such authority; or
    6. statements or conduct of any third party on the Service.

    FORCE MAJEURE

    No party to these Terms shall be liable to the other for breaching its obligations due to a circumstance beyond its control, such as, for example an act of God, act of government, war, civil unrest, act of terror, strike, internet service provider failure or any other circumstance qualifying as force majeure. However, nothing in this clause shall excuse a Party from any payment obligation hereunder.

    ENTIRE AGREEMENT

    These Terms sets fort the entire agreement between you and NAB relating to the Service and supersedes all prior and contemporaneous oral and written agreements, except as otherwise permitted. Nothing contained in any document submitted by you will add to or otherwise modify the Agreement.

    GOVERNING LAW AND JURISDICTION

    These Terms shall be governed by the laws of Sweden, except for the rules governing the choice of law.

    Disputes arising shall be settled by a Swedish general court.
